• Terms: The terms and conditions described in this document are incorporated by reference into a written estimate, quotation, proposal, agreement, order, or other transaction form (“Transaction Document”) (together with these Ram Projects + Renovations Standard Terms and Conditions, the “Agreement”), and pertain to the manufacturing, repair, service, installation, or other goods or services provided by Ram Projects + Renovations (the “Work”, “goods”, and/or “services”) as requested by you, the Customer, as further described in the Transaction Document. “Ram Projects + Renovations” refers to the entity providing the Work, as identified in the applicable Transaction Document, or in the absence thereof, Ram Projects + Renovations, an Alberta limited liability company, doing business in Canada as Ram Projects + Renovations

• Timeline: Ram Projects + Renovations will provide professional project management and build services as outlined in the agreed-upon contract and specifications. Any changes to the scope of work must be approved in writing by both parties. We will establish a project timeline outlining key milestones and completion dates. Delays due to unforeseen circumstances may occur, but we will strive to keep the project on schedule and communicate any changes promptly.

• Payment: Payment terms will be detailed in the contract and may include a deposit, progress payments, and final payment upon project completion. Late payments may result in additional fees. If you choose to make payment(s) by credit card, you agree to pay a 2.75% surcharge on the total amount of such payment(s).

• Permits and Regulations: Our team will secure necessary permits and ensure compliance with building codes and regulations. If the client decides to move forward without the necessary permits or decides to move ahead with permitting on their own accord, Ram Projects + Renovations is under no legal obligation for any outcome of not holding a valid permit. Any additional costs incurred due to permit issues will be discussed with the client.

• Change Orders: Any changes to the original scope of work must be documented in writing through a change order. Additional costs or time extensions resulting from change orders will be communicated to the client.

• Warranty: We stand behind the quality of our workmanship and materials. You must carefully inspect the Work within ten calendar days after delivery or installation. If the Work does not meet the written requirements as described in the Ram Projects + Renovations Transaction Document, or if the Work has any defect in manufacture, installation, or operation, you must give Ram Projects + Renovations written notice of the nonconformance or defect claimed within ten calendar days. ABSENCE OF SUCH WRITTEN NOTICE SHALL BE CONCLUSIVE EVIDENCE THAT THE WORK IS ACCEPTABLE TO YOU AS DELIVERED. Ram Projects + Renovations warrants that goods and services provided by Ram Projects + Renovations will be free from material defects in workmanship and materials for a period of one year from the date of delivery. This includes materials and labor. Upon expiration of the one-year warranty, the goods are warranted solely in accordance with the manufacturer’s separate warranty, if any.

• Material Substitutions : Ram Projects + Renovations reserves the right to substitute materials in the performance of its obligations under any project or contract where the material is of equivalent, or greater specifications, and is similar in appearance and functionality, to meet the design intent. Ram Projects + Renovations also reserves the right to supply alternative brands at its discretion, provided that the alternative brand meets the required specifications and does not compromise the quality or performance of the finished product.

• Repossession: If you fail to make any payment when due or otherwise default in any of your obligations in this Agreement, Ram Projects + Renovations may terminate this Agreement and may (but has no obligation to) repossess the goods or any component(s) thereof, without resort to judicial process, and without liability for trespass. Ram Projects + Renovations right of repossession includes the right to remove the goods, and also to disconnect or otherwise render the goods unusable. Ram Projects + Renovations rights of termination and repossession shall be in addition to and not as an alternative to Ram Projects + Renovations right to its other remedies in this Agreement and any other remedy available at law or in equity.

• Safety: Our team prioritizes safety on the job site and follows industry best practices to minimize risks. Clients are expected to adhere to safety guidelines and restrictions during construction. Clients are assuming risk if they are on their own worksite.

• Dispute Resolution: In the event of any disputes or concerns, both parties agree to first attempt to resolve the issue through negotiation and mediation before pursuing legal action.

• Weather Specific
  Ram Projects + Renovations does not include expenses resulting from seasonal temperatures or unpredictable weather condition expenses related to heating, hoarding, snow removal, landscaping, material substitutions suitable for the weather or other charges incurred resulting from unsuitable temperatures to perform the work as deemed by Ram Projects + Renovations. Seasonal Assessments may be noted in the Transaction Document; however, they are only estimates.

• Client Responsibilities: Clients are responsible for providing access to the property, timely decisions on material selections, and clear communication throughout the project.

• Miscellaneous
  All past due amounts shall bear an annual interest rate of the lesser of eighteen 18% or the maximum rate allowed by law.
  Performance by Ram Projects + Renovations shall be subject to delay due to strike, labor dispute, breakage, fire, unforeseen commercial delays, infectious disease, epidemic, pandemic, insurrection, war, acts of terror, acts of God, governmental regulation, or other causes beyond Ram Projects + Renovations reasonable control.
